If you don't know what the old Viacom was-it existed between 1971 and 2005 and owned the CBS and UPN broadcast networks, several radio and television stations across the United States, the Simon & Schuster publishing firm, a billboard company, MTV Networks (and associated cable channels), Showtime Networks (and associated cable channels), Paramount Pictures (and it's associated home entertainment company) and distributed old CBS programming into syndication.
I don't know what the motive was for splitting the old Viacom into two different companies (the old Viacom itself being renamed CBS Corporation and an entirely new company also named Viacom)-but I believe it was probably because of what happened during halftime at one Super Bowl...an event that is also somewhat why Facebook and Youtube exist.
